1. Definitions

Throughout these Terms of Service, the following definitions apply:

• Services refers to all computer systems design, consulting, development, architecture, and related professional services offered by the Company
• User refers to any individual or entity that accesses or uses the Website or Services

• Enterprise software development and system integration
• Cybersecurity assessment, strategy, and compliance services
• Data engineering, analytics infrastructure, and business intelligence solutions
• Technical consulting, architecture review, and technology advisory services

The specific scope, deliverables, timeline, fees, and other terms for any Services engagement shall be set forth in a separate written agreement or statement of work executed by both parties. In the event of any conflict between these Terms of Service and any separate written agreement, the separate written agreement shall control.

4. Intellectual Property Rights

All content, features, and functionality on the Website including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof are owned by Zheng Foundation LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Zheng Foundation name, the Zheng Foundation logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zheng Foundation LLC or its affiliates. You must not use such marks without the prior written permission of Zheng Foundation LLC. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ZHENG FOUNDATION LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE OR YOUR USE OF THE WEBSITE AND SERVICES EXCEED THE GREATER OF THE AMOUNT YOU HAVE PAID TO ZHENG FOUNDATION LLC FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED UNITED STATES DOLLARS. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ZHENG FOUNDATION LLC AND YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless Zheng Foundation LLC, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses including reasonable attorneys' fees arising from or related to your use of and access to the Website or Services, your violation of any term of these Terms of Service, your violation of any third-party right including without limitation any copyright, property, or privacy right, or any claim that your content caused damage to a third party.

This indemnification obligation will survive the termination or expiration of these Terms of Service and your use of the Website and Services. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with us in asserting any available defenses.

12. Termination

These Terms of Service shall remain in full force and effect while you use the Website and Services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Website and Services to any person or entity for any reason or for no reason at all including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Service or of any applicable law or regulation.

Upon termination, your right to use the Website and Services will immediately cease. All provisions of these Terms of Service which by their nature should survive termination shall survive termination including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation including non-contractual disputes or claims shall be governed by and construed in accordance with the laws of the State of Utah, United States, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of or related to these Terms of Service or the Website shall be instituted exclusively in the federal or state courts located in Salt Lake County, Utah. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute informally by contacting us at serve@zhengfoundation.hair. If the dispute cannot be resolved within sixty days of such notice, either party may pursue relief as set forth in this section.

14. Force Majeure

Zheng Foundation LLC shall not be liable for any failure or delay in performance under these Terms of Service to the extent that such failure or delay is caused by circumstances beyond our reasonable control including but not limited to acts of God, natural disasters, pandemic or epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor, or materials, or failures of telecommunications or Internet infrastructure.

15. Severability and Waiver

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Service will continue in full force and effect. The failure of Zheng Foundation LLC to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

No waiver of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Zheng Foundation LLC to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate written agreements executed between you and Zheng Foundation LLC, constitute the entire agreement between you and Zheng Foundation LLC regarding the use of the Website and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and Services.

17. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect.
